Tutor Agreement

Introduction

This agreement is between Corypheus Inc. DBA Russian Math Tutors ("RMT"), a California company, and you, the Tutor. It covers your work on our platform at russianmathtutors.com.

Accepting This Agreement

By registering or tutoring on our platform, you agree to these terms. You confirm that you have read and understood this agreement. If you disagree with any term, you cannot work with RMT.

Your Work Status

You are an independent contractor, not an RMT employee, partner, or joint venture participant. As an independent contractor, you have the following rights and responsibilities:

1. You are responsible for paying your own income taxes and self-employment tax
2. You are not eligible for employee benefits from RMT
3. You have the freedom to choose your own teaching methods, subject to RMT standards
4. You may set your own hourly rates and availability
5. You must follow RMT teaching quality standards

Your Responsibilities

Your Profile

You agree to provide accurate information when you register and keep your profile updated with current information about:

• Your qualifications and credentials
• Your teaching areas and subjects
• Your availability and schedule
• Your hourly rates

RMT may verify your background and credentials at any time.

Classes and Schedule

You must honor your posted availability and scheduled classes. Specifically, you agree to:

• Show up for all scheduled classes and start and end them on time
• Provide at least 24 hours notice if you need to cancel
• Make reasonable efforts to reschedule any classes you cancel
• Notify RMT at least one week in advance of any extended unavailability

Teaching Quality

You must deliver high-quality instruction that meets RMT standards. This includes:

• Coming prepared to each class with appropriate materials
• Providing feedback and progress reports to students as appropriate
• Assigning and reviewing homework when applicable
• Responding to student inquiries in a timely manner
• Maintaining professional conduct at all times

Payment

Fee Structure

You set your own hourly rate for tutoring services. RMT retains a platform fee of 35% of all payments, and you receive 65% as your net compensation.

Payment Schedule

Payments are processed monthly for all completed classes. You will be paid by the 10th day of the month following the month in which services were provided, via PayPal or direct deposit. RMT will issue appropriate tax forms annually if required by law.

Cancellations

• If a student cancels less than 6 hours before a scheduled class, you will still receive compensation
• If you cancel a class at any time, you will not receive compensation for that class
• Repeated cancellations by you may result in termination of this Agreement

Teaching Materials

Your Materials

You retain ownership of teaching materials you create. However, when you upload or share them on the RMT platform, you grant RMT a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your materials for providing services through the platform. You still own your materials despite this license.

Our Materials

All RMT content, including our curriculum, software, graphics, and brand elements, belongs to RMT or its licensors. This content is protected by copyright and intellectual property laws. You may only use RMT materials to provide tutoring services on our platform.

Restrictions

You agree not to:

• Use RMT materials outside the platform without written permission
• Share or distribute RMT proprietary materials to third parties
• Create derivative works based on RMT materials without authorization
• Remove any copyright, trademark, or other proprietary notices from materials

Privacy and Confidentiality

Student Privacy

You must keep all student information confidential, including personal details, academic records, and payment information. You may not share this information with anyone unless required by law or if the student provides explicit written consent.

Business Privacy

You agree not to share any confidential information about RMT's business, including operational procedures, marketing strategies, and financial details.

No Poaching Students

During this Agreement and for six months after it ends, you agree not to directly solicit any students you met on the RMT platform for tutoring services outside the platform.

Ending This Agreement

Term

This Agreement starts when you accept it and continues until either party terminates it.

Termination Without Cause

Either party may terminate this Agreement at any time without cause by providing at least seven days written notice.

Termination With Cause

RMT may terminate this Agreement immediately if you:

• Breach any provision of this Agreement
• Engage in conduct that could damage RMT's reputation
• Fail to maintain teaching standards as determined by RMT
• Have no activity on the platform for three consecutive months

Effect of Termination

Upon termination, you must complete any scheduled classes that were booked prior to termination and will receive payment for those completed classes. You must cease using any RMT materials or platform access, and your profile will be removed from the platform.

Legal Protection

Limitation of Liability

To the maximum extent permitted by law, RMT is not liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to this Agreement or your use of the platform.

Indemnification

You agree to indemnify, defend, and hold harmless RMT and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from:

• Your provision of tutoring services
• Your violation of this Agreement
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations

Resolving Disputes

Any dispute related to this Agreement will be settled by final and binding arbitration under the Federal Arbitration Act. The arbitration will be conducted by a single neutral arbitrator, managed by the American Arbitration Association (AAA) or a similar service in San Jose, California. The arbitrator's decision is final, and judgment can be entered in any court with proper authority. The winning party may recover its costs and reasonable attorney fees.

Other Terms

Governing Law

This Agreement is governed by the laws of the State of California, without regard to conflict of law principles.

Assignment

You may not assign or transfer this Agreement or any rights or obligations without RMT's prior written consent. Any attempted assignment in violation of this provision is null and void.

Entire Agreement

This Agreement is the complete agreement between you and RMT, replacing all previous agreements, understandings, and communications, whether written or spoken.

Severability

If any part of this Agreement is invalid or unenforceable, the rest will still apply. The invalid part will be replaced with a valid provision that closely matches the original intent.

Waiver

If RMT does not enforce a right or provision of this Agreement, it does not waive that right or provision. A waiver must be acknowledged and agreed to in writing by RMT.

Modifications

RMT may modify this Agreement at any time. We will notify you of major changes by posting the updated Agreement on our website or via email. If you continue to provide tutoring services after these changes, you accept the new terms.
